Welcome! These Terms of Service form an agreement between you and Playhouse Media LLC or, if you reside in the European Union, between you and Playhouse Media Trading Ltd. They cover the website available at sdai.live (the "Website") and the associated mobile application (the "App"). In these Terms, "Playhouse Media," "Company," "we," or "us" refers to Playhouse Media LLC or Playhouse Media Trading Ltd., as applicable, and "Services" refers to the Website, App, and any content, tools, features, and functionality offered through them.

These Terms govern your access to and use of the Services. Please read them carefully, as they include important information about your legal rights. By accessing or using the Services, you agree to these Terms. If you don't understand or agree to these Terms, please don't use the Services.

NOTE: THESE TERMS CONTAIN AN ARBITRATION CLAUSE AND CLASS ACTION WAIVER. By agreeing to these Terms, you agree to resolve all disputes with us through binding individual arbitration. This means you waive any right to have disputes decided by a judge or jury and waive your right to participate in class actions or representative actions. You have the right to opt-out of arbitration as explained below.

Use of the Services

Your Registration Obligations

When you register to use the Services, you agree to provide accurate and complete information about yourself. You must be at least 18 years old (or the age of majority in your jurisdiction, whichever is higher) to access our adult-oriented Services. By registering, you affirm that you meet these age requirements and that providing false information may result in account termination and legal action.

Member Account, Password, and Security

You are responsible for maintaining the confidentiality of your password and account and for all activities that occur under them. You agree to immediately notify Playhouse Media LLC of any unauthorized use of your account or password or any other breach of security. Playhouse Media LLC is not liable for any loss or damage arising from your failure to comply with these obligations.

General Practices Regarding Use and Storage

Playhouse Media LLC may establish general practices and limits concerning the use of the Services, including the maximum period of time that data or other content will be retained and the maximum storage space allotted. Playhouse Media LLC is not responsible for the deletion or failure to store any data or content. Accounts inactive for an extended period may be terminated.

Email Communications and Consent

By creating an account, you expressly consent to receive electronic communications from Playhouse Media LLC to the email address you provide. These communications include:

Transactional emails: Account notifications, security alerts, billing confirmations, password resets, and service-related updates
Marketing emails: Promotional offers, new features, product announcements, newsletters, and other marketing communications

You may opt out of marketing emails at any time by using the unsubscribe link in any marketing email or by adjusting your email preferences in your account settings. However, you cannot opt out of transactional emails necessary for the operation of your account.

Conditions of Use

User Conduct

In addition to complying with our Community Guidelines, you agree not to submit any Content that:

Infringes intellectual property rights
Contains viruses or harmful code
Violates privacy or security
Is unsolicited or unauthorized advertising
Is threatening, abusive, or harassing
Is defamatory, libelous, or false
Promotes hate speech or discrimination
Is obscene or sexually exploitative
Promotes terrorism or criminal activity
Seeks to buy or sell illegal drugs
Facilitates automated decision-making impacting legal rights
Seeks to provide medical, legal, financial, or tax advice
Interferes with the Services or others' use of the Services
Violates any law or regulation
Impersonates another person or entity

Anti-Human Trafficking Policy

Playhouse Media LLC maintains a zero-tolerance policy toward human trafficking, sex trafficking, and all forms of exploitation. The use of our Services to promote, facilitate, support, or engage in human trafficking or sex trafficking in any form is strictly prohibited.

Prohibited Activities

You may not use the Services to:

Promote, facilitate, or engage in human trafficking or sex trafficking
Recruit, harbor, transport, or solicit individuals for the purpose of commercial sex acts through force, fraud, or coercion
Advertise or solicit sexual services involving trafficked or exploited individuals
Exploit minors in any way, including the production, distribution, or solicitation of child sexual abuse material (CSAM)
Coordinate, fund, or otherwise support trafficking operations

Reporting Suspected Trafficking or Exploitation

If you encounter any content or activity on the Services that you believe involves or promotes human trafficking, sex trafficking, or the exploitation of any individual, please report it immediately:

All reports are treated as confidential to the extent permitted by law. Playhouse Media LLC will acknowledge and investigate all complaints related to trafficking, exploitation, or illegal content within five (5) business days of receipt.

Intellectual Property Rights

Content You Submit

When you submit Content to the Services, you represent and warrant that you own all rights to that Content or have received all necessary permissions. You retain ownership of your Content but grant Playhouse Media LLC a nonexclusive, worldwide, royalty-free, fully paid-up, transferable, sublicensable, perpetual, irrevocable license to use the Content for any purpose related to the Services.

Characters & Generations

When you create an AI character ("Character") using the Services, you own all rights to that Character. You also own any text, images, audio, or video generated by the Character ("Generations"). You grant Playhouse Media LLC a license to use the Character and Generations as necessary to operate and promote the Services.

Services Content, Software, and Trademarks

The Services may contain content protected by copyright, trademark, or other proprietary rights. You agree not to use such content except as expressly authorized. The Playhouse Media name and logos are trademarks of Playhouse Media LLC.

Your notification must include:

Third-Party Websites and Services

The Services may provide links to other sites and resources on the Internet or third-party applications. Playhouse Media LLC is not responsible for and does not endorse these sites or applications.

Indemnity and Release

You agree to release, indemnify, and hold Playhouse Media LLC and its affiliates, officers, employees, directors, and agents harmless from any losses, damages, or expenses arising out of your use of the Services.

Disclaimer of Warranty

Your use of the Services is at your sole risk. The Services are provided on an "AS IS" and "AS AVAILABLE" basis. Playhouse Media LLC expressly disclaims all warranties, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

Limitation of Liability

Playhouse Media LLC is not liable for any indirect, incidental, special, consequential, or exemplary damages, including but not limited to loss of profits, goodwill, data, or other intangible losses, arising from the use or inability to use the Services.

Dispute Resolution By Binding Arbitration

Agreement to Arbitrate

You agree that all disputes arising between you and Playhouse Media LLC will be resolved exclusively through final and binding arbitration.

Prohibition of Class and Representative Actions

You and Playhouse Media LLC agree that each may bring claims against the other only on an individual basis, not as part of a class action.

Arbitration Procedures

Arbitration will be conducted under JAMS' Streamlined Arbitration Rules and Procedures, with hearings in San Francisco, CA, unless otherwise agreed.

Termination

Playhouse Media LLC may suspend or terminate your account at any time for any reason, including inactivity or violation of these Terms. Termination does not affect Playhouse Media LLC's rights to your Content.

Subscription and Refund Policy

Before subscribing, please read our no-refund policy carefully.

General Terms: All sales are final and non-refundable except for EU residents who are granted a 14-day withdrawal period.
Subscription and Billing: Fees for subscriptions are non-refundable.
Exceptions: No refunds will be issued for dissatisfaction, misunderstanding, or technical issues.
Free Trial: A free trial may be offered, but subscriptions following the trial are non-refundable.
Changes to the Service: Playhouse Media LLC may modify or discontinue the service at any time.

Entire Agreement

These Terms constitute the entire agreement between you and Playhouse Media LLC regarding the Services.

These Terms are governed by the laws of California. Any disputes not subject to arbitration will be resolved in Santa Clara County, California.

Expiration of Claims

Any claim related to the Website or these Terms must be filed within one year.

Changes to these Terms

We may modify these Terms at any time. Changes will be posted on this page and become effective no earlier than 14 days after posting unless for legal reasons or new functions. Continued use of the Services after changes become effective constitutes acceptance.
